Terms of Use

These Terms of Use ("Terms") govern your use of the TLT Esource website ("the Site"), including the Employer's Forum ("the Forum"). You must register and obtain a user name and password in order to fully access the information on the Site and use the Forum. By registering your details to access the Site you are indicating your acceptance of these Terms. If you do not accept these Terms please do not register.
Copyright
Except where otherwise stated, the information and images contained on the Site are the property of TLT LLP ("TLT") and are protected by copyright laws. All software used on the Site is the property of TLT or our software suppliers and is protected by copyright laws. Unless the conditions below are met, the content of the Site may not be distributed, modified, reproduced in whole or in part without the prior written permission of TLT.
You may print copies of TLT material on the Site for your personal use or for the personal use of others within your organisation. You may also download TLT material on the Site to your local hard disk provided it is for your personal use, or for personal access by others within your organisation.
You may supply copies of TLT material on the Site to a person outside your organisation for their personal use provided that:-
- the material is supplied in its original form and not supplied as part of any other work;
- the material is not supplied in return for intended commercial gain;
- the Site is prominently acknowledged as the source of the material;
- the TLT web address www.TLTesource.com is prominently included in the material copied;
- the person receiving the material is informed that these conditions and the Legal Disclaimer (below) apply to him and that he must comply with them.

Intellectual Property
TLT owns intellectual property rights in the Site. This includes, without limitation, trade marks, database rights, rights in designs, rights in know-how, patents and rights in inventions, whether registered or unregistered.
Information Gathering
You may not use any data gathering or data extraction tools, such as robots, on the Site without the prior written permission of TLT. You may not link to the Site, nor frame it, without TLT's express permission. If you would like to link to the Site, please contact us.

TLT does not guarantee that access to and use of the Site will be uninterrupted or error-free. From time to time TLT may suspend or restrict access to the website in order to carry out repairs, maintenance or to introduce new facilities. TLT does not warrant that the information on the Site is accurate or complete and is not responsible for checking that information is accurate or complete.
Mention of third party products, services, companies and websites on the Site is for information purposes only and constitutes neither an endorsement nor a recommendation.

Employer's Forum
DISCLAIMER - PLEASE READ CAREFULLY
By its nature much of the content of the Forum is published, posted, uploaded or disseminated ("Post" or "Posted") by other contributors, who are not employees or agents of TLT. TLT is not responsible for this content and is providing access to such content and allowing you to Post messages on the Forum as an information service to you.
You are responsible for your own Postings and any consequences thereof. You agree only to use the Forum to Post contributions related to employment issues and which comply with the content standards set out below. You must comply with the spirit of the content standards as well as the letter. The content standards apply to any and all material which you Post or otherwise contribute to the Forum.
You warrant that any contributions that you make to the Forum will comply with the content standards and you indemnify us for any breach of that warranty.
TLT expressly excludes its liability for any loss or damage arising out of the use of the Forum in breach of the content standards, although this shall not operate to limit or exclude the liability of TLT:
- for death or personal injury caused by the negligence of TLT or any of its employees or agents; or
- for fraudulent misrepresentation by TLT or any of its employees or agents or for any other matter in respect of which liability cannot lawfully be limited or excluded.
Content standards
Postings must be:
- accurate (where they state facts); and
- genuinely held (where they state opinions).
You must not:
- Post any inappropriate, defamatory, abusive, offensive, inflammatory, menacing, obscene or illegal contributions;
- promote any illegal activity;
- defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (including rights of privacy and publicity) of others;
- Post any material that infringes the intellectual property rights (including but not limited to any patent, copyright or trade mark) of any third party;
- Post any communications which contain details about individuals making it possible for others to identify those individuals;
- Post any files than contain viruses, corrupted files or any other similar software or programs that may damage the operation of a third party's computer;
- promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
- advertise or offer to sell goods or services for any commercial purpose;
- download any file Posted by another member which you know or should reasonably know cannot be legally distributed in such a manner;
- impersonate another person or entity or misrepresent your identity or affiliation with another person or entity;
- falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels or the original source of materials contained in a contribution which is Posted on the Forum;
- restrict or inhibit any other user from using the Forum.
Breach of Content Standards
If you are in contravention of the content standards TLT may (without limitation) take any of the following actions:
- issue a warning to you; or
- issue legal proceedings against you for payment of damages and reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from such breach.
TLT does not control the materials posted on the Forum (unless these are posted by an employee or agent of TLT) and has no obligation to monitor the Forum. However TLT reserves the right at all times to edit or remove (without notice) any information in whole or in part from the Forum at its sole discretion without any liability for such editing or removal.
TLT does not endorse, support, represent or guarantee the truthfulness, accuracy or reliability of materials posted on the Forum or endorse any opinions expressed on the Forum. You acknowledge that any reliance on materials posted on the Forum will be at your own risk. In particular, nothing on the Forum constitutes legal advice. If you have a specific legal problem or issue you should consult a suitable qualified lawyer.
TLT reserves the right to terminate, suspend or restrict your access to the Forum at any time without notice for any reason.
Communications on the Forum
You acknowledge that the Forum is a public and not a private form of communication and that therefore others may read your postings without your knowledge. You must be careful if you are disclosing personal identifying information about yourself and/or your business. TLT does not control or endorse the content, contributions or information on the Forum and specifically disclaims any and all liability arising from the Forum and any actions resulting from your participation in the Forum. Any communication posted by you on the Forum is considered not to be confidential.
By posting materials on the Forum you automatically assign the copyright in those materials to TLT and waive all moral rights in such materials (meaning the rights conferred by Part I Chapter IV of the Copyright Designs and Patents Act 1988 and any modification or re-enactment thereof).
Seminar Bookings
You may apply to book a place at seminars offered by TLT via ESource. Please note that your place at the seminar is not guaranteed until you have received an email or letter from TLT confirming that a place has been reserved.
TLT may have to postpone or cancel seminars and will notify you as soon as reasonably possible if this happens. TLT shall not be liable to you for any loss or damage arising out of or in connection with the attendance at or cancellation or delay of any seminar including, without limitation, indirect or consequential loss or damage, loss of anticipated revenues, wasted management or office time and loss of business opportunities.
Security
You may only access the information on the Site if you have set up an account and registered a user name and password. TLT is under no obligation to accept your application to access the information on the Site. You are responsible for keeping your account details and password safe. You must ensure that nobody else knows your username and password. If you think that somebody else knows your username and password you must contact us immediately so that TLT can change your account details. Please contact us if you believe your account is no longer secure.
TLT reserves the right at any time to block your account and restrict your access to the information on the Site. If your account is blocked please contact us to reactivate it. TLT is under no obligation to reactivate your account.
Privacy
Please review the privacy policy for information on how TLT collects and uses your personal information.
Changes to the Terms
TLT may change these Terms at any time by putting amended Terms on the website. You are expected to check this page from time to time to take notice of any changes we make, as they are binding on you.
Severance
If any provision in these Terms is declared void or unenforceable by any court or other body of competent jurisdiction, or is otherwise rendered so by any applicable law, such provision shall to the extent of such invalidity or unenforceability be deemed severable and all other provisions of these Terms not affected by such invalidity or unenforceability shall remain in full force and effect.
Waiver
No delay or failure by TLT in enforcing any provision in these Terms shall be deemed to be a waiver or create a precedent or in any way prejudice TLT's rights under these Terms.
Jurisdiction and Governing Law
These Terms shall be governed by and construed in accordance with the laws of England. Any dispute arising under these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England.

Financial Services
General Insurance - TLT is not regulated by the Financial Services Authority ('the FSA'). However, we are included on the register maintained by the FSA so that we can carry on insurance mediation activity (broadly, the advising on, selling and administration of insurance contracts). This part of our business, including arrangements for complaints or redress if something goes wrong, is regulated by the Solicitors Regulation Authority. The Register can be inspected at the FSA's website at www.fsa.gov.uk/register.
Investments - TLT is not authorised under the Financial Services and Markets Act 2000 but we are able in certain circumstances to offer a limited range of investments services to clients because we are members of the Solicitors Regulation Authority. We can provide these investment services if they are an incidental part of the professional services that we have been engaged to provide.
